Terms of Service

TierFlow is a configuration tool for tier pricing on Shopify. You are responsible for your store's pricing, discounts, checkout behavior, legal compliance, and compliance with any third-party platforms or advertising channels you use (such as Google Merchant Center or Meta). TierFlow is provided as-is. We are not liable for pricing errors, overcharges, discount blocking failures, third-party platform disapprovals, or losses arising from your use of the app.
1. Acceptance of Terms
These Terms of Service ("Terms") are a legally binding agreement between you ("Merchant," "you," or "your") and TierFlow LLC ("TierFlow," "we," "us," or "our"), located at 4033 Broadway, Oakland, CA 94611, United States.
By installing TierFlow from the Shopify App Store, clicking "Install," accessing the TierFlow dashboard, or otherwise using any part of the TierFlow service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, do not install or use TierFlow. If you are accepting on behalf of a company, you represent that you have authority to bind that entity.
2. About TierFlow
TierFlow is a Shopify application that provides tools to configure quantity-based tier pricing on Shopify stores. Features include tier pricing rules, grouped product tier matching, a configurable storefront widget, cart attribute management, discount blocking tools, pricing templates, and aggregate order analytics.
TierFlow is a configuration and display tool only. All transactions, checkout processes, payment processing, order fulfillment, and final pricing charged to end customers are governed by and executed through Shopify's infrastructure — not TierFlow's.
3. Eligibility & Account
To use TierFlow you must have an active Shopify store in good standing, be at least 18 years of age with legal capacity to enter binding agreements, and comply with Shopify's own Terms of Service and Acceptable Use Policy. You are responsible for all activity that occurs under your account. Notify us immediately at care@tierflow.app if you suspect unauthorized access.
4. Subscription & Billing
4.1 — Plans & Pricing
TierFlow offers subscription plans as described on our Pricing page. Plan details and pricing are subject to change with notice per Section 15.
4.2 — Billing via Shopify
All billing is processed exclusively through the Shopify Billing API. TierFlow does not collect or store your payment information. Charges appear on your Shopify invoice. By approving a TierFlow subscription in Shopify, you authorize Shopify to charge your payment method on file.
4.3 — Free Trial
If a free trial is offered, your subscription will automatically convert to paid at trial end unless you uninstall TierFlow beforehand. No charges apply during the trial.
4.4 — Recurring Charges
Subscriptions renew automatically at the end of each billing period until you cancel by uninstalling TierFlow from your Shopify admin.
4.5 — Cancellation
Cancel at any time by uninstalling TierFlow. Access continues until the end of the current billing period. We do not offer prorated refunds for partial billing periods except where required by law or at our sole discretion.
4.6 — Refunds
Charges are subject to Shopify's refund policies. To request a discretionary refund, contact care@tierflow.app within 14 days of the charge.
4.7 — Price Changes
We will provide at least 30 days' advance notice of pricing changes via email or in-app notification. Continued use after the effective date constitutes acceptance.
5. Merchant Responsibilities
You are solely responsible for:
- Your pricing decisions. All tier rules, thresholds, discount amounts, and configurations you create in TierFlow are your choices. You are responsible for ensuring they reflect your intended pricing.
- Testing before going live. You must test all TierFlow configurations before applying them to your live storefront and active customers.
- Legal compliance. You are responsible for ensuring your pricing practices comply with all applicable laws in all jurisdictions where you operate, including consumer protection, pricing transparency, and tax obligations.
- Your Shopify theme. You are responsible for ensuring your theme is compatible with TierFlow and that theme customizations do not conflict with TierFlow's functionality.
- Your customers. You are responsible for all communications with and obligations to your end customers, including handling disputes, refunds, and complaints related to pricing.
- Third-party app conflicts. If you use other apps affecting pricing, discounts, or checkout, you are responsible for testing compatibility with TierFlow.
- Keeping configurations current. You are responsible for updating TierFlow configurations when your product catalog or pricing strategy changes.
6. Pricing & Checkout Disclaimer
TierFlow is a configuration tool. TierFlow does not process transactions, execute checkouts, calculate taxes, apply Shopify discounts natively, or control the final price charged to your customers. All of these functions are performed by Shopify's infrastructure.
TierFlow shall have no liability whatsoever for any of the following, regardless of cause:
- Pricing errors or miscalculations displayed to customers on your storefront, in cart, or at checkout — whether caused by TierFlow configuration, Shopify platform behavior, theme conflicts, or third-party app interactions
- Overcharges or undercharges billed to your customers, including where a customer was charged more or less than the intended tier price
- Incorrect variant prices resulting from tier rules being applied, regenerated, or removed — whether by manual action, automated background jobs, or grouped product workers
- Checkout failures, errors, or abandonment related to pricing, cart attributes, or TierFlow's widget or embed script
- Cart total mismatches between displayed tier pricing and the amount charged at checkout
- Tax calculation errors arising from variant prices modified by TierFlow's tier rules
- Shopify Scripts, Functions, or checkout extensibility conflicts with TierFlow's pricing or cart modifications
- Customer disputes or chargebacks related to pricing displayed or charged through your store
- Revenue or sales loss resulting from pricing errors, checkout failures, or misconfigured tier rules
- Prices not updating in real time due to Shopify API rate limits, theme caching, CDN caching, or platform delays
TierFlow modifies Shopify product variant prices via the Shopify Admin API as instructed by your configuration. Once a variant price is updated in Shopify, it becomes part of your Shopify store data. TierFlow is not responsible for the downstream effects of those price updates within Shopify's platform.
7. Discount Blocking Disclaimer
TierFlow's Discount Blocking feature uses Shopify cart attributes (specifically the _tf_cart_total attribute) and checkout display customizations to deter certain discount applications. However:
- TierFlow does not have access to Shopify's checkout backend and cannot guarantee that discount codes, automatic discounts, Shopify Scripts, Shopify Functions, or third-party discount apps will be blocked in all cases
- Behavior may vary depending on your Shopify plan, store configuration, active Shopify Functions, checkout extensibility setup, and other installed apps
- Shopify platform updates may affect Discount Blocking behavior without prior notice
- TierFlow is not liable for any discount codes or promotions that are successfully applied despite Discount Blocking being enabled
- TierFlow is not liable for revenue loss, margin loss, or pricing discrepancies resulting from discounts being applied alongside tier pricing
- TierFlow is not liable for orders where a TierFlow tier discount and a separate discount code are applied simultaneously, resulting in stacked discounts
8. Acceptable Use
You agree not to: use TierFlow for deceptive or fraudulent pricing; violate consumer protection or pricing laws; reverse-engineer or decompile TierFlow; resell or sublicense access to TierFlow; scrape or extract data from our systems beyond normal usage; attempt unauthorized access to TierFlow's infrastructure or other merchants' data; overburden our servers; violate Shopify's Terms of Service or Acceptable Use Policy; or use TierFlow to facilitate illegal transactions. Violations may result in immediate termination without notice or refund.
9. Intellectual Property
9.1 — TierFlow IP
TierFlow and all its components — including code, UI, design, logos, trademarks, documentation, templates, and algorithms — are the exclusive property of TierFlow LLC. Nothing in these Terms grants you any ownership interest in TierFlow.
9.2 — Limited License
Subject to compliance with these Terms and payment of applicable fees, TierFlow grants you a limited, non-exclusive, non-transferable, revocable license to use TierFlow solely for your own internal business purposes in connection with your Shopify store.
9.3 — Your Data
You retain full ownership of your Shopify store data and configurations. You grant TierFlow a limited license to access and process your store data solely as necessary to provide the service, as described in our Privacy Policy.
9.4 — Feedback
If you submit suggestions or feedback about TierFlow, you grant us a perpetual, worldwide, royalty-free license to use that feedback for any purpose without obligation or compensation to you.
10. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TIERFLOW IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TIERFLOW LLC EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING: (A) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; (B) WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (C) WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF ANY PRICING CALCULATIONS OR ANALYTICS; AND (D) WARRANTIES THAT THE SERVICE WILL MEET YOUR SPECIFIC BUSINESS REQUIREMENTS OR PRODUCE ANY PARTICULAR COMMERCIAL OUTCOME.
TIERFLOW DOES NOT WARRANT THAT TIER PRICING RULES WILL APPLY CORRECTLY IN ALL SHOPIFY THEMES, CHECKOUT CONFIGURATIONS, OR IN COMBINATION WITH ALL THIRD-PARTY SHOPIFY APPS. THE MERCHANT IS SOLELY RESPONSIBLE FOR TESTING AND VERIFYING PRICING BEHAVIOR BEFORE DEPLOYING TO LIVE CUSTOMERS.
Some jurisdictions do not allow exclusion of certain warranties. In such jurisdictions, our liability is limited to the minimum extent permitted by law.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TIERFLOW LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY: INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES; LOSS OF PROFITS, REVENUE, SALES, BUSINESS, OR GOODWILL; LOSS OF DATA OR COST OF PROCURING SUBSTITUTE SERVICES; PRICING ERRORS, OVERCHARGES, UNDERCHARGES, OR CHECKOUT MISCALCULATIONS ON YOUR SHOPIFY STORE; CUSTOMER REFUNDS, CHARGEBACKS, OR DISPUTES ARISING FROM PRICING ON YOUR STORE; REVENUE OR MARGIN LOSS CAUSED BY DISCOUNT STACKING, DISCOUNT BLOCKING FAILURES, OR COUPON CODE CONFLICTS; DAMAGE TO YOUR STORE, BRAND, OR CUSTOMER RELATIONSHIPS FROM PRICING MISCONFIGURATION; OR LOSSES ARISING FROM SHOPIFY PLATFORM CHANGES, DOWNTIME, OR API FAILURES AFFECTING TIERFLOW'S FUNCTIONALITY.
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF TIERFLOW LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ALL CASES, TIERFLOW LLC'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE TIERFLOW SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO TIERFLOW IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100.00).
Some jurisdictions do not allow certain liability limitations. In such jurisdictions, our liability is limited to the minimum extent permitted by applicable law.
12. Indemnification
You agree to defend, indemnify, and hold harmless TierFlow LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from: your use of TierFlow or violation of these Terms; your store's pricing practices, discount configurations, or checkout behavior; pricing errors, overcharges, or miscalculations displayed to or charged to your customers; customer disputes, refunds, or chargebacks related to your store's pricing; your violation of any applicable law or third-party right; or your violation of Shopify's Terms of Service.
13. Shopify Platform
TierFlow is not affiliated with, endorsed by, or sponsored by Shopify Inc. Shopify is a registered trademark of Shopify Inc. TierFlow's availability depends on Shopify's platform and APIs. TierFlow is not responsible for Shopify outages, API changes, rate limiting, or platform modifications that affect TierFlow's features. Your use of Shopify is governed by Shopify's Terms of Service. Where required for App Store compliance, Shopify's requirements take precedence over these Terms.
14. Third-Party Platforms & Advertising Channels
You are solely responsible for ensuring that your store, product data, pricing, and checkout behavior comply with the requirements of any third-party platforms, advertising channels, or marketplaces you use, including but not limited to Google Merchant Center, Google Ads, Meta, TikTok, and similar services.
TierFlow does not guarantee that your products, pricing, or storefront will be approved, accepted, or remain compliant with any third-party platform requirements.
TierFlow does not control or manage product feeds, structured data, schema markup, or how pricing is interpreted by third-party services. Differences between displayed pricing, variant pricing, and checkout pricing may impact third-party platform eligibility.
Any product disapprovals, account suspensions, feed errors, or policy violations issued by third-party platforms are the sole responsibility of the merchant. You are responsible for working directly with the applicable platform to resolve any compliance issues.
15. Termination
15.1 — By You
Uninstall TierFlow from your Shopify admin at any time. Your subscription remains active until the end of the current billing period.
15.2 — By TierFlow
We may suspend or terminate your access immediately without notice if you violate these Terms, violate Shopify's policies, your use poses a risk to our service or other users, we are required to do so by law, or your Shopify account is suspended.
15.3 — Effect of Termination
Your license ceases immediately. TierFlow will stop writing to your store. Previously applied variant prices set by TierFlow will remain in your Shopify store until you manually update them — TierFlow is not responsible for any pricing state left in your store after termination. Your data will be deleted per Privacy Policy §8.
15.4 — Survival
Sections 6, 7, 9, 10, 11, 12, 15.3, and 17 survive termination.
16. Modifications to the Service & Terms
TierFlow may modify, suspend, or discontinue any feature at any time. We will provide reasonable advance notice of material changes to paid functionality. We may update these Terms at any time with at least 14 days' notice for material changes via email or in-app notification. Continued use after the effective date constitutes acceptance. If you disagree, uninstall TierFlow before the effective date.
17. Governing Law & Disputes
17.1 — Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law provisions. The UN Convention on Contracts for the International Sale of Goods does not apply.
17.2 — Informal Resolution
Before filing any formal legal proceeding, contact us at care@tierflow.app and allow 30 days for good-faith resolution.
17.3 — Jurisdiction
Unresolved disputes shall be subject to the exclusive jurisdiction of state and federal courts in Alameda County, California. You consent to personal jurisdiction in those courts.
17.4 — Waiver of Class Action
YOU AND TIERFLOW AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.
17.5 — International Merchants
Where mandatory local law provides additional rights, those rights apply. To the extent permitted by local law, California law and the above jurisdiction provisions apply.
18. General Provisions
Entire Agreement
These Terms, the Privacy Policy, and any plan-specific documentation constitute the entire agreement between you and TierFlow and supersede all prior agreements.
Severability
If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions continue in full force.
Waiver
Failure to enforce any provision is not a waiver. Any waiver must be in writing signed by an authorized TierFlow representative.
Assignment
You may not assign these Terms without our written consent. TierFlow may assign these Terms in connection with a merger, acquisition, or asset sale.
No Third-Party Beneficiaries
These Terms do not create third-party beneficiary rights. Your end customers have no rights under this agreement.
Force Majeure
TierFlow is not liable for failures caused by events beyond our reasonable control, including Shopify platform outages, internet failures, or acts of God.
